和其瑞医药（以下或简称为“本公司”，含关联公司）关注到 ABSCI CORPORATION 在面向投资者的路演演示文稿、美国SEC Form 8-K备案文件中，不当使用并发布了涉及本公司HMI-115产品的相关内容，现就相关事实澄清如下：
一、关于 ABSCI CORPORATION未经本公司授权擅自使用短尾猴毛发生长研究数据与图表
抗泌乳素受体抗体短尾猴动物药效研究，由本公司创始人肖瑞平教授牵头，联合拜耳公司、和其瑞-北京大学协同创新实验室完成。2019年，拜耳公司将 BAY1158601/HMI-115的全球独家开发、商业化权益等授予本公司，本公司对上述研究过程中形成的实验图像、原始数据及对比图表享有权利。自2025年起，ABSCI CORPORATION未经本公司授权，擅自在多份面向市场的公开材料中使用短尾猴毛发生长研究数据与图表，包括但不限于ABSCI CORPORATION于2025年8月12日、2025年11月12日、2026年3月24日、2026年5月7日提交美国SEC的Form 8-K备案文件，以及2026年摩根大通全球医疗健康投资者大会演示文稿等。（上述材料由ABSCI CORPORATION在其官方网站予以公布，Form 8-K备案文件可从Nasdaq.com查看。）
据本公司所知，ABSCI CORPORATION未参与该抗泌乳素受体抗体短尾猴动物药效研究的实验设计、实施或数据整理等任一环节，不享有对实验项目相关数据、图表的任何权利。本公司亦从未授权ABSCI CORPORATION将相关资料用于商业宣讲、投资者沟通及监管申报。本公司对上述未经授权擅自使用本公司专有研发资产的行为高度关注，并已启动相应应对程序。
二、关于ABSCI CORPORATION发布HMI-115药代动力学及受体占有率误导性对比信息
本公司留意到，ABSCI CORPORATION在面向投资者的沟通材料中通过对比分析暗示HMI-115在药代动力学（PK）与受体占有率（RO）方面表现不及 ABS-201。本公司谨此说明：
（一）本公司与拜耳公司从未对外披露HMI-115雄激素性脱发适应症Ib期、II期临床试验的任何PK、RO研究数据，亦未授权任何第三方使用该等数据，或向ABSCI CORPORATION提供此类数据。本公司就其保密信息及商业秘密享有的全部权利，将依法予以主张；
（二）上述对比所援引的数据并非源自本公司或拜耳公司已公开的研究结果，相关对比不具有客观依据，可能导致误导市场公众。
综上，本公司已委托外部律师对上述事宜进行全面法律评估，现要求ABSCI CORPORATION 立即停止使用本公司专有实验数据与图表，以及含误导性PK/RO对比的分析内容，并且立即撤回、销毁含有前述信息的相关资料。同时本公司保留依法采取一切维权及救济之权利。

Hope Medicine Inc. Announcement
Hope Medicine Inc. (hereinafter referred to as “the Company,” including its affiliates) has noted that ABSCI CORPORATION has improperly used and published content relating to the Company’s HMI-115 product in its investor roadshow presentations and U.S. SEC Form 8-K filings. The Company hereby clarifies the relevant facts as follows:
I. Regarding ABSCI CORPORATION’s Unauthorized Use of Stump-Tailed Macaque Hair Growth Study Data and Charts
The anti-prolactin receptor antibody stump-tailed macaque (Macaca arctoides) pharmacodynamic study was led by the Company's founder, Professor Xiao Ruiping, and was completed in collaboration with Bayer AG and the Hope Medicine–Peking University Collaborative Innovation Laboratory. In 2019, Bayer AG granted the Company the exclusive global development and commercialization rights to BAY1158601/HMI-115. The Company retains rights and interests in With respect to the experimental images, the Company holds the corresponding intellectual property rights and ownership.
Since 2025, ABSCI CORPORATION has, without the Company’s authorization, used the stump-tailed macaque hair growth study data and charts in multiple market-facing public materials, including but not limited to the Form 8-K filings submitted to the U.S. SEC on August 12, 2025, November 12, 2025, March 24, 2026, and May 7, 2026, as well as its presentations at the 2026 J.P. Morgan Global Healthcare Investor Conference. (These materials were published by ABSCI CORPORATION on its official website, and the Form 8-K filings are available on Nasdaq.com.)
To the Company’s knowledge, ABSCI CORPORATION did not participate in any aspect of the anti-prolactin receptor antibody stump-tailed macaque pharmacodynamic study, including study design, conduct, or data compilation, and does not hold any rights to the data or charts related to the study. The Company has never authorized ABSCI CORPORATION to use the relevant materials for commercial presentations, investor communications, or regulatory filings. The Company is highly concerned about such unauthorized use of its proprietary R&D assets and has initiated the corresponding procedures to address the matter.
II. Regarding ABSCI CORPORATION’s Publication of Misleading Comparative Information on HMI-115 Pharmacokinetics and Receptor Occupancy
The Company has noted that ABSCI CORPORATION has, in its investor-facing communications, used comparative analyses to imply that HMI-115 underperforms ABS-201 in terms of pharmacokinetics (PK) and receptor occupancy (RO). The Company wishes to clarify that:
(i) Neither the Company nor Bayer has ever publicly disclosed any PK or RO study data from the Phase Ib or Phase II clinical trials of HMI-115 in androgenetic alopecia. The Company has not authorized any third party to use such data, nor provided such data to ABSCI CORPORATION. The Company will enforce its rights in its confidential information and trade secrets to the fullest extent permitted by law; and
(ii) The data cited in the above comparisons does not originate from any research results published by the Company or Bayer. Accordingly, the comparisons have no objective basis and may lead to misunderstandings among the public and the market.
In view of the above, the Company has engaged external legal counsel to conduct a comprehensive legal assessment of these matters. The Company formally demands that ABSCI CORPORATION immediately cease using the Company’s proprietary experimental data and charts, as well as analytical content containing misleading PK/RO comparisons, and immediately withdraw and destroy all relevant materials containing this information. The Company reserves all rights to legal remedies and relief available under applicable law.
